General Circular No. 14/2020 passed by the Ministry of Corporate Affairs, Government of India clarifying the passing of ordinary and special resolutions by companies under the Companies Act, 2013 on account of threat posed by Covid-19. The MCA also requested companies to use postal ballots/ e-voting to take all urgent decisions. Through the same circular, MCA has also issued guidelines to be followed during such meetings. The Ministry of Finance, Government of India released a press note providing immediate relief to the business entities and individuals by issuing all the pending income-tax refunds up to Rs. 5 lakh immediately. 3rd Addendum to guidelines by Ministry of Home Affairs Orders No. 40-3/2020-DM-I(A) dated 24th March, 25th March and 27 March, 2020, wherein two changes were made to the original order and Transit arrangements for foreign national(s) in India was added to sub-clause (g) in exception to Clause 6 and addition of a clause regarding release of quarantined persons to clause 12. The Union Ministry of Labour and Employment issued notification GSR 225 (E) amending EPF Scheme to allow withdrawal of non-refundable advance by EPF members/ subscribers. The notification permits withdrawal of upto the amount of basic wages and dearness allowance for three months or upto 75% of the amount standing to member's credit in the EPF account, whichever is less, in the event of outbreak of epidemic or pandemic. The Ministry of Home Affairs, Government of India also issued a slew of directions to manage the movement of migrant workers. The order said all the employers of migrant workers shall make payment of wages on the due date without any deduction during the lockdown. The department also said that landlords would also not demand rent for period of one month from workers, including migrant workers. The order also stated that if any employer or landlord was found in violation of these directions, action shall be taken against them under the Disaster Management Act, 2005. The Union Finance & Corporate Affairs Minister Smt. Nirmala Sitharaman today announced Rs 1.70 Lakh Crore relief package under Pradhan Mantri Garib Kalyan Yojana. The relief package includes insurance cover for healthcare workers, increase in MNREGA wages, ex-gratia to poor senior citizen, widows and disabled. SEBI (Securities and Exchange Board of India) issued a notification stating that capital and debt market service shall remain open during the lockdown. The Ministry of Corporate Affairs, Government of India issued General Circular No. 10/2020 clarifying the expenditure of CSR funds for Covid-19. The circular clarified that funds spent on promotion of health care, including preventive health care and sanitation and disaster management shall be eligible to be considered CSR activity. The Ministry of Labour & Employment Government of India also issued an order directing employers of private/ public establishments to not terminate the employees, particularly the casual and contractual workers or reduce their wages. If any employee takes leave, he shall be deemed to be on duty. Further, if the place is employment is made non-operational due to Covid-19, the employees of such unit will be deemed to be on duty. The guidelines mention the manner of disinfection as well as the frequency of such cleaning. The Ministry of Corporate Affairs, Government of India issued advisory on preventive measures to contain the spread if Covid-19. The directions issued in this notification included dispensing with necessity of holding physical meetings as well as advising Companies/ LLP's to implement "work from Home" policy to maximum extent possible including conducting of meetings through video or telephonic conference. The Ministry also advised that companies involved in providing essential goods and services should also adopt staggered timings to minimize physical interaction of employees in addition to following all preventive measures. The Ministry also introduced a web form named CAR (Company Affirmation of Readiness towards Covid-19) and requested all companies/ LLPs to report compliance of the web form.
